01Agreement to these Terms

These Terms of Service ("Terms") are a legal agreement between you and DYL Trades ("DYL Trades", "we", "us" or "our"), the operator of AXIS. They apply to the AXIS website, web app, Help Centre and related services (together, the "Services").

By creating an account, starting a free trial or using the Services, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use AXIS.

02What AXIS is

AXIS is a trading journal and performance platform. It lets you import trades from your broker's export files, journal your sessions, log notes and screenshots during the day, track prop firm accounts and rules, see statistics and reports, use AI-powered coaching and analysis, and create share links and recap cards.

AXIS does not place trades, hold funds, or connect to your broker to trade on your behalf.

03Not financial advice

AXIS is an educational and record-keeping tool. Nothing in the Services is financial, investment, tax or legal advice, or a recommendation to buy or sell any financial product.

• Statistics, reports, AI Coach responses, chart analysis, daily tips, bias summaries, Help Centre articles and any other content are general information only. They don't take into account your objectives, financial situation or needs.
• DYL Trades is not a licensed financial adviser, and AXIS does not hold an Australian Financial Services Licence.
• Trading futures, forex, options and other leveraged products involves substantial risk of loss and is not suitable for everyone. Past performance, including your own journal history, does not guarantee future results.
• You are solely responsible for your trading decisions and their outcomes. Consider getting independent professional advice.

04Eligibility and your account

• You must be at least 18 years old and able to enter a binding contract to use AXIS.
• Give us accurate information when you sign up, and keep your email address current.
• Keep your password secure and don't share your account. You're responsible for activity under your account.
• Tell us straight away at the contact email below if you think someone has accessed your account without permission.
• One person per account. Access codes and promotional access are personal and can't be resold or transferred.

05Free trial, subscriptions and billing

• Free trial. New accounts get a 7-day free trial. No card is needed to start. When the trial ends, you'll need an active subscription to keep using the app.
• Subscription. AXIS is billed monthly in advance at the price shown on our website or at checkout. Your subscription renews automatically each month until you cancel.
• Payments are processed by Stripe. By subscribing you authorise us, through Stripe, to charge your payment method each billing period. Prices include any taxes we are required to collect, unless stated otherwise.
• Failed payments. If a payment fails, access may be paused until it's resolved.
• Price changes. We may change prices. We'll give you at least 14 days' notice by email or in the app, and the new price applies from your next billing period. If you don't agree, you can cancel before then.
• AI usage limits. Plans include a monthly allowance of AI requests, shown in the app, to keep the service fair and sustainable. The allowance resets each month.

06Cancellations and refunds

• You can cancel at any time from the Account page (Manage Billing). You'll keep access until the end of the billing period you've already paid for, and you won't be charged again.
• It's your responsibility to cancel before your next renewal date if you don't want to be charged. Deleting the app from your device or simply not using it does not cancel your subscription.
• Because you can try AXIS free for 7 days before paying, subscription payments are non-refundable, including for partial months or unused time, except where required by law.
• Your consumer rights. Nothing in these Terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or other laws that can't be excluded. If the Services have a major failure, you may be entitled to a refund under those laws.

07Acceptable use

When using AXIS you agree not to:

• break any law, or use the Services for anything fraudulent or harmful;
• upload content you don't have the right to use, or that is unlawful, abusive, or infringes anyone else's rights;
• upload viruses or malicious code, or try to disrupt, overload or gain unauthorised access to the Services, other accounts or our systems;
• scrape, copy, reverse-engineer, resell or build a competing product from the Services, except as the law allows;
• get around usage limits, paywalls or security features, or misuse free trials (for example by creating multiple accounts);
• use share links or recap cards to mislead people, for example by presenting edited or fabricated results as real; or
• harass, abuse or threaten other users in comments or anywhere else, or pressure anyone into sharing more than they want to; or
• impersonate anyone or misrepresent your connection with DYL Trades.

08Your content

Your trades, journal entries, notes, screenshots, playbooks and other content you add ("Your Content") belong to you.

You give us a limited, non-exclusive, worldwide licence to host, store, process, copy and display Your Content only as needed to provide and improve the Services for you. This includes sending relevant content to our AI providers when you use AI features, and showing content you choose to share through share links. This licence ends when you delete the content or your account, except for copies in backups that are deleted on their normal cycle.

You're responsible for Your Content and for making sure you have the right to upload it. Keep your own copies of anything important. You can export a full backup from Settings at any time.

09AI features

• AI Coach, chart analysis, daily tips, reviews and other AI features generate responses automatically using third-party AI models. Responses can be incomplete, out of date or wrong, even when they sound confident.
• AI output is general information, not financial advice (see "Not financial advice" above). Don't rely on it as the only basis for any decision.
• Don't put sensitive information into AI features that you aren't comfortable sharing with our AI providers. See our Privacy Policy.
• We may change, limit or remove AI features or providers at any time.

10Sharing, friends and mentors

• When you create a share link or recap card, you choose to make that content visible to others. Anyone with a share link can see what it contains until you revoke it.
• You are responsible for what you share and how you present it. Don't share content in a way that is misleading or breaks the law or the rules of any platform you post to.
• Content shared by other users reflects their own results and opinions, not ours. We don't verify it, and it isn't advice.
• Friends, accountability partners, mentors, leaderboards, challenges and groups are optional. Partners and mentors only see what you allow, and you can remove them at any time. A mentor's or partner's comments are their own opinion, not advice from DYL Trades, and we aren't responsible for any arrangement (paid or otherwise) between you and a mentor.
• Leaderboards and challenges are for motivation only. They use your imported trades, can contain errors, and come with no prizes or guarantees unless we say otherwise in writing.

11Prop firm and account tracking

AXIS can track drawdown, daily loss limits, profit targets, consistency rules and payouts based on the rules and data you enter. These are estimates to help you stay organised. They may not match how your prop firm or broker calculates them, and rules change.

Always confirm your account status, rule compliance and payout eligibility directly with your prop firm or broker. We aren't responsible for failed evaluations, breached accounts, or denied payouts.

12Third-party services and links

AXIS relies on, and links to, third-party services such as brokers' export tools, economic calendars, Stripe, YouTube, TikTok and Discord. We don't control them and aren't responsible for their content, availability or practices. Your use of them is governed by their own terms and privacy policies.

Imported data depends on the files your broker provides. If the export is incomplete or inaccurate, your statistics in AXIS will be too.

13Our intellectual property

The Services, including the AXIS name and logo, the DYL Trades brand, software, design, Help Centre content and other materials (excluding Your Content), are owned by or licensed to DYL Trades and protected by intellectual property laws.

We give you a personal, non-exclusive, non-transferable, revocable licence to use the Services for your own trading journal while your account is in good standing. You may share recap cards and screenshots of your own results, including the AXIS branding they carry. You may not otherwise copy, modify, distribute or use our branding without our written permission.

If you send us feedback or ideas, we can use them without owing you anything.

14Accuracy and availability

• We work hard to make AXIS accurate, but calculations, imports, session times, economic events and other information may contain errors or be delayed.
• We aim to keep AXIS available, but it may sometimes be unavailable for maintenance, updates or reasons outside our control.
• We may add, change or remove features over time. If we remove something that is central to the paid service, we'll give you reasonable notice.

15Disclaimer

To the extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including that the Services will be uninterrupted, error-free or meet your needs, or that any results or information will be accurate.

Some laws, including the Australian Consumer Law, give you guarantees that can't be excluded. Where that applies, this section doesn't exclude them.

16Limitation of liability

To the extent permitted by law:

• We are not liable for any trading losses, lost profits, lost data, failed evaluations or payouts, or any indirect or consequential loss arising from your use of (or inability to use) the Services, AI output, or any information in them.
• Our total liability to you for all claims relating to the Services is limited to the amount you paid us for the Services in the 3 months before the event giving rise to the claim.
• Where our liability for failing to comply with a consumer guarantee can be limited, it is limited to supplying the Services again or paying the cost of having them supplied again.

17Indemnity

To the extent permitted by law, you agree to indemnify DYL Trades against any claims, losses and reasonable costs arising from your breach of these Terms, Your Content, or your misuse of the Services, except to the extent caused by our own breach or negligence.

18Suspension and termination

• You can stop using AXIS and delete your account at any time from Settings.
• We may suspend or close your account if you seriously or repeatedly breach these Terms, don't pay, or use the Services in a way that could harm us or others. Where reasonable, we'll warn you first and give you a chance to export your data.
• If we close the Services entirely, we'll give you at least 30 days' notice and a chance to export your data, and refund any prepaid fees for the period after closure.
• Sections that by their nature should survive (including Not financial advice, Disclaimer, Limitation of liability and Indemnity) continue after your account ends.

19Changes to these Terms

We may update these Terms from time to time. We'll update the date at the top of this page and, for significant changes, notify you by email or in the app at least 14 days before they take effect. If you keep using AXIS after the changes take effect, you accept the updated Terms. If you don't agree, you can cancel before then.

20Governing law

These Terms are governed by the laws of Victoria, Australia. You and we submit to the non-exclusive jurisdiction of the courts of Victoria and the courts that can hear appeals from them. If you're a consumer living elsewhere, you may also have the benefit of mandatory protections in your local law.

If you have a dispute with us, please contact us first so we can try to resolve it informally.

21General

• Entire agreement. These Terms and our Privacy Policy are the whole agreement between you and us about the Services.
• Severability. If any part of these Terms is found invalid or unenforceable, the rest stays in effect.
• No waiver. If we don't enforce a right straight away, we haven't given it up.
• Assignment. You can't transfer your account or these Terms. We may transfer them as part of a sale or restructure of the business, and these Terms will continue to apply.
• Notices. We'll send notices to the email address on your account. You can send notices to us at the email below.
• Events outside our control. We aren't responsible for delays or failures caused by things reasonably beyond our control, such as outages at our providers.
